Terms and Conditions

1. Scope and Applicability

These Terms and Conditions ("Terms") govern your use of the Fairsync music licensing platform (the "Services"), operated by MM One Legal Services LLC (dba Fairsync) ("we", "us", "the Company"). By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Services.

2. Payment and Billing

All payments are processed securely through Stripe, Inc. We accept EU bank transfers and credit card payments. Credit card payments may include a processing fee as displayed at checkout. You agree to provide current, complete, and accurate billing information. The full license fee is charged at checkout for the selected term. All prices are displayed net; VAT is calculated at checkout based on your billing address.

3. License Terms and Auto-Renewal

Music licenses are available for terms between 12 and 60 months. By default, auto-renewal is disabled. If enabled, your license will automatically renew for the same duration at the then-current rate unless you disable auto-renewal via the license portal before the renewal date. You will receive a reminder email before any renewal.

4. Cancellation and Refunds

You may disable auto-renewal at any time through the license portal. Your license remains active until the end of the current term. No partial refunds are issued for the remaining term.

5. Data Processing

Payment processing is handled by Stripe, Inc. Your payment card details and bank account information are transmitted directly to Stripe and are never stored on our servers. We collect only the minimum personal data necessary to provide the Services: email address, name, country, postal code, and VAT ID. For full details, see our Privacy Policy.

6. Your Account and Responsibilities

You are responsible for maintaining the confidentiality of your license ID and associated email address. You agree that all information you provide is true, accurate, and complete. You must not share your license credentials with unauthorized third parties or use the Services for any unlawful purpose.

7. Intellectual Property

All content, trademarks, and intellectual property on the Fairsync platform are owned by or licensed to MM One Legal Services LLC (dba Fairsync). Music licenses granted through the platform are non-exclusive and non-transferable, limited to the scope, duration, and territory specified at checkout. Unauthorized reproduction, distribution, or sublicensing is strictly prohibited.

8. Disclaimer and Limitation of Liability

The Services are provided on an "as-is" and "as-available" basis. To the fullest extent permitted by law, the Company disclaims all warranties, express or implied, including fitness for a particular purpose. The Company shall not be liable for any indirect, consequential, or incidental damages arising from your use of the Services. Our total liability is limited to the amount you paid for the specific service giving rise to the claim.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, USA. Any disputes shall be resolved through binding arbitration in Saint Petersburg, Florida, under the rules of the American Arbitration Association. For EU consumers accessing the Services from Europe, mandatory consumer protection provisions of your country of residence apply where they provide greater protection.

10. Changes to These Terms

We reserve the right to amend these Terms at any time. Material changes will be communicated via email or a notice on our platform. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
